Acceptance of Terms
Binding agreement: These Terms constitute a legally binding agreement between you (“User,” “you,” “your”) and AirConditionSolve (“we,” “us,” “our,” “Company”). Your use of the Site constitutes your full acceptance of these Terms. If you do not agree, you must immediately discontinue use of the Site.

Acceptable Use Policy

AirConditionSolve reserves the right to terminate or restrict your access to the Site, without notice, for any violation of this Acceptable Use Policy, in addition to any other remedies available at law or in equity.

AGGREGATE CAP: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF AIRCONDITIONSOLVE FOR ALL CLAIMS SHALL NOT EXCEED ONE US DOLLAR (USD $1.00).
THE FOREGOING LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND SHALL SURVIVE THE FAILURE OF ANY ESSENTIAL PURPOSE.
Indemnification
You agree to defend, indemnify, and hold harmless AirConditionSolve and its owners, officers, directors, employees, agents, contractors, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or relating to:
- your violation of these Terms or any document incorporated by reference;
- your use of the Site, including any DIY activities undertaken in reliance on Site content;
- your violation of any applicable law, rule, or regulation;
- your infringement of any intellectual property or other rights of any third party;
- your User Submissions; or
- any misrepresentation made by you in connection with the Site.
AirConditionSolve reserves the right to assume exclusive defence of any matter subject to indemnification by you, in which case you agree to cooperate fully. You shall not settle any covered claim without AirConditionSolve’s prior written consent.
Privacy Policy
Your use of the Site is also governed by our Privacy Policy, incorporated into and made part of these Terms by reference. By agreeing to these Terms, you also agree to our Privacy Policy.
Our Privacy Policy describes how we collect, use, store, and share information about you when you use the Site, including data collected via cookies, Google Analytics, Google AdSense, and the Amazon Associates Program.
In the event of a conflict between these Terms and the Privacy Policy with respect to personal data, the Privacy Policy shall govern to the extent of the conflict.

Right to modify: AirConditionSolve reserves the right, in its sole discretion, to modify, amend, or replace any part of these Terms at any time without prior notice. All changes are effective immediately upon posting.
Notice of material changes: For material changes, AirConditionSolve will endeavour to provide at least 30 days’ advance notice via a prominent homepage notice and, where practicable, by notifying newsletter subscribers by email.
Continued use constitutes acceptance: Your continued access to or use of the Site after any revision constitutes irrevocable acceptance of the revised Terms. If you do not agree to the revised Terms, your sole remedy is to discontinue use of the Site.
Version history: The “Last Updated” date at the top of this page will be revised whenever material changes are made.
Governing Law & Jurisdiction
Governing law: These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.
Exclusive jurisdiction: Subject to Section 17 (Arbitration), any legal action not subject to arbitration shall be brought exclusively in the federal or state courts located in Kent County, Delaware. Each party irrevocably consents to the personal jurisdiction and venue of such courts.
International users: The Site is operated from the United States. Those who access the Site from other countries do so on their own initiative and are responsible for compliance with applicable local law.
Arbitration Clause

AGREEMENT TO ARBITRATE: EXCEPT FOR CLAIMS QUALIFYING FOR SMALL CLAIMS COURT, YOU AND AIRCONDITIONSOLVE AGREE THAT ANY AND ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE SHALL BE RESOLVED EXCLUSIVELY BY FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT.
ARBITRATION RULES: ARBITRATION SHALL BE CONDUCTED BY THE AMERICAN ARBITRATION ASSOCIATION (“AAA”) UNDER ITS CONSUMER ARBITRATION RULES, AVAILABLE AT www.adr.org. ARBITRATION SHALL BE CONDUCTED IN THE STATE OF DELAWARE UNLESS OTHERWISE AGREED. THE ARBITRATOR’S AWARD SHALL BE FINAL AND BINDING AND MAY BE ENTERED AS A JUDGMENT IN ANY COURT OF COMPETENT JURISDICTION.
COSTS: PAYMENT OF FILING, ADMINISTRATION, AND ARBITRATOR FEES SHALL BE GOVERNED BY AAA’S CONSUMER ARBITRATION RULES. IF THE VALUE OF RELIEF SOUGHT IS USD $10,000 OR LESS, AT YOUR REQUEST AIRCONDITIONSOLVE WILL PAY ALL SUCH FEES.
OPT-OUT RIGHT: YOU MAY OPT OUT OF THIS ARBITRATION AGREEMENT BY SENDING WRITTEN NOTICE TO [email protected] WITHIN 30 DAYS OF FIRST ACCEPTING THESE TERMS, INCLUDING YOUR NAME AND A CLEAR STATEMENT THAT YOU WISH TO OPT OUT OF ARBITRATION.
Class Action Waiver

WAIVER OF CLASS OR CONSOLIDATED ACTIONS: YOU AND AIRCONDITIONSOLVE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, REPRESENTATIVE, PRIVATE ATTORNEY GENERAL, OR MULTI-PLAINTIFF ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.
JURY TRIAL WAIVER: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND AIRCONDITIONSOLVE EACH WAIVE ANY RIGHT TO A JURY TRIAL FOR ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE.
SEVERABILITY: IF THE CLASS ACTION WAIVER IS FOUND UNENFORCEABLE IN ANY ACTION, THE ARBITRATION AGREEMENT IN SECTION 17 SHALL BE NULL AND VOID WITH RESPECT TO THAT ACTION, WHICH SHALL PROCEED IN COURT PURSUANT TO SECTION 16.
Miscellaneous Provisions
Entire agreement: These Terms, together with the Privacy Policy, Affiliate Disclosure, and Disclaimer (each incorporated by reference), constitute the entire agreement between you and AirConditionSolve and supersede all prior agreements and understandings.
Severability: If any provision of these Terms is held invalid, illegal, or unenforceable, it shall be modified to the minimum extent necessary and the remaining provisions shall continue in full force.
Waiver: Failure by AirConditionSolve to enforce any right or provision shall not constitute a waiver of that right or provision unless acknowledged in writing. No waiver of any breach shall constitute a waiver of any subsequent breach.
Assignment: You may not assign these Terms without prior written consent. AirConditionSolve may freely assign these Terms. Any purported assignment in violation of this provision is null and void.
Force majeure: AirConditionSolve shall not be liable for any failure or delay resulting from causes beyond its reasonable control, including acts of God, war, terrorism, pandemic, governmental action, or internet service provider failure.
Headings: Section headings are for convenience only and shall not affect the interpretation of these Terms.
Language: These Terms are written in English, which shall be the governing language in the event of any conflict with any translation.
